Patricia Dondanville

Patricia Dondanville, partner in the Chicago office of Schiff Hardin LLP, concentrates her practice in corporate and finance matters. Ms. Dondanville provides ongoing strategic and legal counsel for a number of energy industry clients. She has been identified by clients as a member of the BTI Consulting Group’s Client Service All-Star Team for Law Firms.

 

At the request of the Edison Electric Institute (EE) and the National Energy Marketing Association, Ms. Dondanville organized and co-chaired for many years an industry-wide committee that drafted a standardized master contract for the purchase and sale of wholesale electric power (EEI Master Contract). The committee assisted the International Swaps and Derivatives Association (“ISDA”) in developing the ISDA North American Power Annex, and continues to meet to address issues facing the wholesale electric markets, to draft additional optional provisions to supplement the EEI Master Contract, and provide ongoing training for industry participants.

 

Ms. Dondanville is a frequent speaker and panel member on programs dealing with corporate finance, derivatives risks and energy marketing.

In addition to her private practice, Ms. Dondanville served for a number of years as a Deputy General Counsel for a Fortune 500 energy holding company. In that role, she managed an in-house legal staff, had budgetary responsibility, and selected and supervised outside counsel representing the company and its subsidiaries.

 

Complex Corporate Transactions
Ms. Dondanville represents public and private companies in mergers, acquisitions and divestitures. When appropriate, she assists clients with strategies to streamline multiple transactions, and to reduce costs by using consistent and complementary business and legal teams. She also counsels clients on integration issues arising from these transactions, and helps address indemnification issues (sometimes through mediation and arbitration).
