Practice Description
Ms. Tyrrell advises clients in the areas of domestic and cross-border mergers, acquisitions and joint ventures, global corporate reorganizations and complex commercial arrangements. Ms. Tyrrell has counseled clients in a number of transactions in the healthcare/pharmaceutical industry. In addition, Ms. Tyrrell represents a large manufacturer in the wind energy industry. She also assists U.S. clients with the general management of their global operations and their commercial agreements.
Ms. Tyrrell has worked in Baker & McKenzie’s Sydney and Barcelona offices.

2008 – Representing several US public companies in their corporate and tax reorganziations.
2008 – Representing US public company in its potential share exchange with private equity operating company.
2008 – Representing US public company in the drafting and negotiation of a joint venture agreement with a Saudi partner in the cabling business.
2008 – Represented US public company of divestiture of US and French medical device business.
2008 – Represented Spanish public company in potential acquisition via auction of a US public company.
2008 – Represented US private company in auction for sale of US company and two Mexican subsidiaries.
2008 – Represented Spanish company in the potential acquisition of US company.
2007 – Represented Japanese public company in auction for acquisition of several companies in the power products business.
2006 - 2007 – Represented U.S. publicly-traded corporation on the proposed sale of two diagnostic divisions to a U.S. publicly-traded corporation in the healthcare industry.
2006 – Represented U.S. publicly-traded corporation in the drafting and negotiation of the Co-Development, License and Supply Agreement with another U.S. publicly-traded corporation for fixed dose combination products for the treatment of cholesterol.
2006 – Represented U.S. publicly-traded corporation in the drafting and negotiation of its License Agreements with French and Irish companies.
2006 – Represented U.S. private company affi liate of Spanish company in drafting and negotiating multi-million dollar commercial contracts for the sale and maintenance of wind turbines.
2006 – Represented U.S. publicly-traded corporation in its acquisition of two (2) business lines in healthcare industry in forty (40) jurisdictions
2006 – Represented U.S. publicly-traded corporation in public auction in chemicals business in multiple jurisdictions.
2005 – Represented U.S. private company affi liate of Spanish company in drafting and negotiating numerous multi-million dollar commercial contracts for the sale and maintenance of wind turbines.

2004 – Represented U.S. publicly-traded corporation in its disposition of a business line in Italy in the healthcare industry.
2004 – Represented U.S. publicly-traded corporation in its acquisition of healthcare company group in five (5) jurisdictions.

Professional Affiliations
• ABA’s Task Force on International Acquisition Transactions, active Editorial Group member 2004 to present – drafting a model asset purchase agreement for use on cross-border transactions.
• ABA’s Task Force on Joint Ventures – Internationalization Project, active Editorial Group member 2004 to present
– analyze and publish commentary on the international aspects of Joint Ventures.

Ms. Tyrrell is a member of the Diversity and Inclusion Committee and the Women’s Affinity Group of Baker & McKenzie’s Chicago office.
Ms. Tyrrell is leading the formation of Baker & McKenzie’s Chicago office’s Alumni Program.
Pro Bono & Community Involvment
Ms. Tyrrell is a member of the Board of Directors and Treasurer of Kaleidoscope, Inc. and is currently a volunteer with Lawyers in the Classroom at McCutcheon Elementary School.
